Investors dumped Eastman Kodak's stock Friday amid fears that the photography pioneer is headed toward bankruptcy.

After its stock lost more than half its value in a volatile day of trading, Kodak tried to paint a rosier picture. "Kodak is committed to meeting all of its obligations and has no intention of filing for bankruptcy," the company said in a statement. The reassurance lifted Kodak shares in extended trading, but the rebound wasn't enough to undo the damage sustained in a brutal week for a hallowed name in U.S. business.

The Wall Street Journal rattled Kodak's already jittery shareholders with a Friday report that the company has hired Jones Day, a law firm that dispenses advice on bankruptcies and other restructuring alternatives.

Kodak confirmed the Jones Day hiring in its statement, describing the firm as one of several advisers helping its management turn around the Rochester, N.Y., company after losing nearly $1.8 billion since 2007. "It is not unusual for a company in transformation to explore all options and to engage a variety of outside advisers," Kodak said.

Friday's news followed a Kodak disclosure earlier this week that the company was borrowing $160 million from a $400 million line of credit.

The daisy chain of events convinced some investors that Kodak is running out of cash as it scrambles to adapt to the age of digital imagery.

Eastman Kodak Co. shares plunged 91 cents, or 54 percent, to close at 78 cents per share. The stock regained 35 cents in extended trading after management defused the bankruptcy speculation. The shares stood at $2.38 at the beginning of the week.

The selling was so intense during Friday's regular session that the shares temporarily stopped trading under the New York Stock Exchange's automated controls. At one point, Kodak's stock sagged to a new low of just 54 cents.

After 131 years in business, Kodak finds itself on shaky ground largely because of the shift to digital cameras. That change, coupled with tougher foreign competition, has undercut sales of the film that made Kodak famous.

To survive, the company has been mining its patent portfolio for additional cash. Since 2008, Kodak has pocketed nearly $2 billion in royalties and licensing fees. In July, Kodak hired investment bankers Lazard Ltd. to sell about 1,100 digital-imaging patents.

The question now is whether those measures will be enough to keep Kodak afloat. The company had $957 million in cash as of June 30, down from $1.6 billion at the start of the year.

7 Common Questions About Startup Employee Stock Options (Mashable)

A terrific story, but unfortunately, not all stock options have as happy an ending. Pets.com and Webvan, for example, went bankrupt after high-profile Initial Public Offerings left their stock grants worthless.

Stock options can be a nice benefit, but the value behind the offer can vary significantly. There are simply no guarantees. So, whether you're considering a job offer that includes a stock grant, or you hold stock as part of your current compensation, it's crucial to understand the basics.

  • What types of stock plans are out there, and how do they work?
  • How do I know when to exercise, hold or sell?
  • What are the tax implications?
  • How should I think about stock or equity compensation relative to my total compensation and any other savings and investments I might have?

1. What are the most common types of employee stock offerings?


Two of the most common employee stock offerings are stock options and restricted stock.

Employee stock options are the most common among startup companies. The options give you the opportunity to purchase shares of your company's stock at a specified price, typically referred to as the "strike" price. Your right to purchase – or "exercise" – stock options is subject to a vesting schedule, which defines when you can exercise the options.

Let's take an example. Say you're granted 300 options with a strike price of $10 each that vest equally over a three-year period. At the end of the first year, you would have the right to exercise 100 shares of stock for $10 per share. If, at that time, the company's share price had risen to $15 per share, you have the opportunity to purchase the stock for $5 below the market price, which, if you exercise and sell concurrently, represents a $500 pre-tax profit.

At the end of the second year, 100 more shares will vest. Now, in our example, let's say the company's stock price has declined to $8 per share. In this scenario, you would not exercise your options, as you'd be paying $10 for something you could purchase for $8 in the open market. You may hear this referred to as options being "out of the money" or "under water." The good news is that the loss is on paper, as you have not invested actual cash. You retain the right to exercise the shares and can keep an eye on the company's stock price. Later, you may choose to take action if the market price goes higher than the strike price – or when it is back "in the money."

At the end of the third year, the final 100 shares would vest, and you'd have the right to exercise those shares. Your decision to do so would depend on a number of factors, including, but not limited to, the stock's market price. Once you've exercised vested options, you can either sell the shares right away or hold onto them as part of your stock portfolio.

Restricted stock grants (which may include either Awards or Units) provide employees with a right to receive shares at little or no cost. As with stock options, restricted stock grants are subject to a vesting schedule, typically tied to either passage of time or achievement of a specific goal. This means that you'll either have to wait a certain period of time and/or meet certain goals before you earn the right to receive the shares. Keep in mind that the vesting of restricted stock grants is a taxable event. This means that taxes will have to be paid based on the value of the shares at the time they vest. Your employer decides which tax payment options are available to you – these may include paying cash, selling some of the vested shares, or having your employer withhold some of the shares.


2. What's the difference between "incentive" and "non-qualified" stock options?


This is a fairly complex area related to the current tax code. Therefore, you should consult your tax advisor to better understand your personal situation. The difference primarily lies in how the two are taxed. Incentive stock options qualify for special tax treatment by the IRS, meaning taxes generally don't have to be paid when these options are exercised. And resulting gain or loss may qualify as long-term capital gains or loss if held more than a year.

Non-qualified options, on the other hand, can result in ordinary taxable income when exercised. Tax is based on the difference between the exercise price and fair market value at the time of exercise. Subsequent sales may result in capital gain or loss – short or long term, depending on duration held.


3. What about taxes?


Tax treatment for each transaction will depend on the type of stock option you own and other variables related to your individual situation. Before you exercise your options and/or sell shares, you'll want to carefully consider the consequences of the transaction. For specific advice, you should consult a tax advisor or accountant.


4. How do I know whether to hold or sell after I exercise?


When it comes to employee stock options and shares, the decision to hold or sell boils down to the basics of long term investing. Ask yourself: how much risk am I willing to take? Is my portfolio well-diversified based on my current needs and goals? How does this investment fit in with my overall financial strategy? Your decision to exercise, hold or sell some or all of your shares should consider these questions.

Many people choose what is referred to as a same-day sale or cashless exercise in which you exercise your vested options and simultaneously sell the shares. This provides immediate access to your actual proceeds (profit, less associated commissions, fees and taxes). Many firms make tools available that help plan a participant's model in advance and estimate proceeds from a particular transaction. In all cases, you should consult a tax advisor or financial planner for advice on your personal financial situation.


5. I believe in my company's future. How much of its stock should I own?


It is great to have confidence in your employer, but you should consider your total portfolio and overall diversification strategy when thinking about any investment – including one in company stock. In general, it's best not to have a portfolio that is overly dependent on any one investment.


6. I work for a privately-held startup. If this company never goes public or is purchased by another company before going public, what happens to the stock?


There is no single answer to this. The answer is often defined in the terms of the company's stock plan and/or the transaction terms. If a company remains private, there may be limited opportunities to sell vested or unrestricted shares, but it will vary by the plan and the company.

For instance, a private company may allow employees to sell their vested option rights on secondary or other marketplaces. In the case of an acquisition, some buyers will accelerate the vesting schedule and pay all options holders the difference between the strike price and the acquisition share price, while other buyers might convert unvested stock to a stock plan in the acquiring company. Again, this will vary by plan and transaction.


7. I still have a lot of questions. How can I learn more?


Your manager or someone in your company's HR department can likely provide more details about your company's plan – and the benefits you qualify for under the plan. You should also consult your financial planner or tax advisor to ensure you understand how stock grants, vesting events, exercising and selling affect your personal tax situation.

Alibaba's Ma: "very interested" in buying Yahoo (Reuters)

PALO ALTO, California (Reuters) – Jack Ma, the founder and CEO of Chinese e-commerce giant Alibaba, is keen on buying Yahoo Inc if the opportunity presents itself and has held discussions with other potential buyers about options.

Asked whether Alibaba might like to pick up the ailing U.S. Internet company, Ma told an audience at Stanford University that he would be "very interested in Yahoo."

The former English schoolteacher later added that, were he to have his way, he would be eager to acquire all of Yahoo, not just the stake it owns in Alibaba.

"The whole piece of Yahoo," Ma said in answer to a question from the audience about what part of Yahoo he was interested in. "China is already ours, right? It's already in my pocket."

Yahoo shares leaped 5 percent to $13.80 in after-hours trading.

Acquiring Yahoo could help Ma expand his online empire into one of the world's most important Internet markets.

Ma also said he planned to spend the next year in the United States learning more about the country and the market. An Alibaba spokeswoman said Ma would be based in the San Francisco Bay area, but would travel across the country and would continue his operational duties as chairman and CEO of the Alibaba Group.

Ma, who was speaking at the China 2.0 conference at Stanford, said he had not visited Yahoo to discuss a deal since he arrived in the United States 15 days ago.

"We are probably one of the very few companies that really understand Yahoo USA very well," he said, referring to his company's long-running relationship with Yahoo, which dates back to 2005.

That relationship has grown strained in recent years. Ma's attempts to buy back some of Yahoo's roughly 40 percent stake in his company were rebuffed by former Yahoo Chief Executive Carol Bartz, who was fired earlier this month.

Yahoo has received inquiries from multiple parties about "potential options," but the struggling company is expected to take months to decide its future. It has retained Allen & Co to help it conduct a long-term "strategic review.

Private equity firm Silver Lake Partners is among the parties that have been in touch with Allen & Co, according to a source familiar with the matter.

Yahoo's board has also started to look for a permanent CEO, but provided no details on its progress, or whether it hired an executive recruiting firm to oversee the search.

At an all-hands meeting the day after Bartz was fired, Yahoo founder Jerry Yang said the company was not for sale, according to another source familiar with the matter. But analysts are staking good odds that Yahoo could eventually be acquired.

Ma said he couldn't predict when a deal to acquire Yahoo might take place.

"It's more complicated than we thought. And there's so many people interested in that. And we are also talking to them and they are talking to us," he said.

"I cross my fingers, just to say we are very, very interested," Ma said.

WASHINGTON – Verizon Communications, the largest U.S. cell phone carrier, is suing to overturn new government regulations governing the flow of Internet traffic.

The lawsuit filed Friday in Washington's U.S. Court of Appeals contends the Federal Communications Commission overstepped its authority in setting its so-called "net neutrality" rules last year. The regulations are scheduled to go into effect in two months. They prohibit Internet service providers from discriminating against or giving special treatment to particular online services or content.

That may seem like a good idea, but the FCC had a hard time coming up with a solution that pleases everyone.

Earlier this week, a media and Internet advocacy group sued to block the rules in a Boston federal court. The group, Free Press, objects to a provision that gives cell phone companies some flexibility to manage traffic so their wireless systems aren't overwhelmed.

Verizon Communications Inc. doesn't think the FCC should be involved at all.

"We are deeply concerned by the FCC's assertion of broad authority to impose potentially sweeping and unneeded regulations on broadband networks and services and on the Internet itself," said Michael Glover, Verizon's general counsel. "We believe this assertion of authority is inconsistent with the statute and will create uncertainty for the communications industry, innovators, investors and consumers."

Verizon filed a similar suit against the FCC's regulations earlier this year, but it was thrown out after the court determined the complaint was premature. Since then, the new rules were published in the Federal Register, giving Verizon a new opportunity to mount a challenge.

Amazon may bring Silk browser to PC, Mac, Android, and Windows Phone (Digital Trends)

Amazon's Jeff Bezos unveils Kindle Fire - Amazon Silk browser

On Wednesday, while Jeff Bezos was taking the stage to unveil the Kindle Fire (our impressions here) and its new Silk browser, Amazon employees were furiously buying up about 500 different Website domain names related to the Kindle Fire and Silk. All of the purchases were defensive, but a few of them hint that Amazon may have broader plans for its Silk browser. The online retailer may bring its browser to PC, Mac, Windows Phone, Windows Shop, and Android. Registrations for "silkontablets.com" and "silkonsmartphones.com" hint at even broader support.

Of course, these registrations could mean nothing at all. It's quite possible that Amazon may register them just in case it ever decides to open up the Silk browser to other platforms. It's impossible to say.

Amazon's Silk browser uses the company's cloud infrastructure to make web pages load faster by splitting the load between users and Amazon's fancy EC2 servers. Learn more about it here.

Twitter tells scientists how the world feels (Reuters)

WASHINGTON (Reuters) – Hate mornings, especially on Mondays? You may be surprised to know that much of the world doesn't share that grumpy feeling.

Twitter shows people are more cheerful in the morning, get gloomier as the day wears on and rebound in the evening, with a peak right before bedtime. They're also happier from December to late June, when days gradually lengthen in the Northern Hemisphere.

Using the micro-blogging site Twitter as a gauge of global sentiment, social scientists studied 509 million tweets from 2.4 million users in 84 countries between February 2008 and January 2010, according to research reported on Thursday in the journal Science.

Bad news, even if it happens to a complete stranger, brings Twitter users down, research by scientists from Cornell University suggests.

Twitter, the five-year-old site that lets users communicate 140-character posts, offers an unprecedented chance to study human behavior and social networks, the scientists said.

Those brief posts get down to the nitty-gritty, showing that Twitter users prefer bacon to sausage and Cheerios to Frosted Flakes, Cornell sociologist and co-author Michael Macy said in a telephone interview on Friday.

"Twitter offers an unprecedented opportunity for social and behavioral scientists to study social behavior and interaction in real time with high temporal granularity -- hour by hour, day by day, over the course of the year -- and to do this at population scale with millions of people all over the world," Macy said.

DON'T BLAME WORK

It may seem intuitive that most people's moods go downhill through the day, but Macy said previous studies have been inconclusive, possibly because they relied on unrepresentative samples, often college students.

The daily mood swing was the same on weekends as during the week, Macy said, "which suggests that it's not caused by work, because on the weekend most people are not working."

This rhythm was the same across the globe, he said, from India, Africa, Australia and New Zealand to Britain, Canada and the United States.

Going forward, Macy said his group will focus more on behavior and not just on feeling, and will "decompose" the mood into more specific emotions such as anxiety or depression, and even home in on such issues as references to body image.

To get a picture of the global mood, the scientists searched tweets for about 1,000 words that reliably indicate positive emotions -- "agree," "fantastic," "super" -- and negative ones, such as "afraid," "mad," and "panic."

The researchers considered up to 400 tweets from each person, and excluded those with fewer than 25 tweets.

The scientists noted a recent survey of U.S. Twitter users found they are 51 percent white, 24 percent African American and 17 percent Hispanic. People with college and advanced degrees and with higher household incomes show up in higher numbers. The researchers said this still makes their study more representative than earlier ones on college students.

In another study cited in Science, researchers at the University of Vermont created a timeline to track the last year in tweets, ending in early September 2011, showing the world's average happiness slid from last October.

The death of Osama bin Laden was the apparent low point, followed closely by the earthquake in Japan, the London riots in August, the 10th anniversary of the September 11 attacks and the death of Amy Winehouse.

Emotional highs, as tracked on Twitter, were the Christmas and New Year holidays, followed by Valentines Day, Thanksgiving and Easter. The wedding of Britain's Prince William to Kate Middleton was a bright spot, comparable to Easter and Father's Day.

AT&T wants Sprint suit over T-Mobile deal quashed (AP)

NEW YORK – AT&T Inc. on Friday asked a court to eject rival Sprint Nextel Corp. from the process that looks at whether AT&T should be allowed to buy T-Mobile USA.

Sprint, the nation's third-largest cellphone company, and a smaller phone company, C Spire Wireless (known as Cellular South until last Monday), both want to be parallel participants in the Justice Department's suit against AT&T's acquisition on antitrust grounds. Participating would give them a chance to affect the proceedings, even if the Justice Department is the most important objector to the deal.

AT&T filed a motion Friday to have the complaints by the two phone companies dismissed, saying Sprint and C Spire are speaking in their own interests, not the public's.

Sprint said AT&T's motion is without merit, and it will respond next week.

AT&T, the No. 2 cellphone carrier in the United States, announced in March its $39 billion deal to buy T-Mobile USA, the No. 4 carrier, with a view to closing it early next year. The Justice Department filed suit to stop the deal a month ago in U.S. District Court in Washington, saying it would concentrate too much market power in one company, leading to higher prices for consumers.

AT&T says the deal will allow it to better serve customers and expand its wireless network.

Several states have joined the suit. Puerto Rico joined on Friday.

AT&T on Friday said Sprint has "spoken disingenuously" about its motives for the merger, and has suggested that Sprint be allowed to buy T-Mobile USA. C Spire has suggested that it would not oppose the merger if AT&T agreed to use its network in Mississippi and surrounding states, C Spire's home territory.

"Such an extraordinary and inappropriate proposal simply confirms that what Cellular South fears is competition, not an alleged lack of competition," AT&T said.

"Today's motion will provide us with another good opportunity to demonstrate why AT&T's proposed takeover of T-Mobile is blatantly anticompetitive," said Eric Graham, C Spire's vice president for strategic and government relations.

AT&T shares fell 32 cents to close at $28.52 in trading Friday.

Samsung Mobile on Friday unveiled an upgraded 7-inch tablet in its product line. The company said the new Galaxy Tab 7 Plus will be introduced in Australia and Indonesia at the end of October, and gradually roll out to other markets thereafter.

The Galaxy Tab 7 Plus improves upon Samsung's original 7-inch model in several respects. For example, the new device will use Google's tablet-friendly Honeycomb release of Android 3.2, as opposed to the Android 2.2 platform for smartphones offered on Samsung's original 7-inch tablet.

Samsung has also replaced the dual-core 1 GHz Hummingbird processor in the original 7-inch model with a slightly faster 1.2 GHz dual-core chip. And the resolution of the front-facing camera has been upgraded from 1.3 megapixels to 2 megapixels, though the back-facing camera remains at 3 megapixels.

The new Galaxy Tab 7 Plus also sports TouchWiz, Samsung's full touch user interface for mobile devices. TouchWiz interacts with the device's built in accelerometer and gyroscope to detect motions in order to enable new panning and tilt features.

The display resolution of the new Galaxy Tab 7 Plus remains at 600x1024 pixels, and the buyer's memory options are unchanged at either 16GB or 32GB of storage. However, the Galaxy Tab 7 Plus does offer support for high-speed packet access plus (HSPA+), which means AT&T and T-Mobile will be able to seamlessly integrate the new device on their compatible networks.

More Than a Coincidence

The arrival of the Galaxy Tab 7 Plus on the heels of Amazon's Kindle Fire this week appears to be more than a coincidence. Like Toshiba with its rollout of the new 7-inch Thrive on Wednesday, Samsung appears to be making an effort to inform consumers that Kindle Fire alternatives are coming.

Samsung has not yet given a suggested retail price for the new Galaxy Tab 7 Plus. With the $199 to $499 price range having now been set by Amazon's Kindle Fire and Apple's iPad 2, however, Samsung will need to ensure that its new 7-inch model can be priced by wireless carriers and distributors somewhere in the middle.

Analysts expect consumer demand for Amazon's new tablet to have a significant effect on the shipment figures of rival Android tablet vendors. According to Gartner, Android-based tablet vendors are expected to collectively account for a 17.3 percent global market share -- dramatically down from the 28 percent estimate that the firm's analysts had projected earlier this year.

"The reduction would have been greater had it not been for the success of lower-end tablets in Asia, and the expectations around the launch of Amazon's tablet," Gartner's analysts said.

The Battle Ahead

The premiere of Samsung's Galaxy Tab 7 Plus in Asia and Australia instead of North America or Europe may be an acknowledgment of the rough road ahead for the mobile device maker in developed markets during this year's holiday shopping season. Longer term, however, there is one way that Samsung may be able to rekindle American consumer interest in its Galaxy Tab product portfolio.

On Oct. 11, Samsung and Google also will be hosting a news conference at the CTIA wireless industry convention in San Diego, during which the two companies are slated to discuss "what's new from Android." The phrase suggests that Google's Android 4.0 platform, code-named Ice Cream Sandwich, may be introduced at the event.

"Google will address the fragmentation of Android across smartphone and tablet form factors within the next Android release," said Gartner Research Vice President Carolina Milanesi. "Android can count on strong support from key OEMs, has a sizable developer community, and its smartphones application ecosystem is second only to Apple's."

IBM overtakes Microsoft to become second-most valuable tech company (Digital Trends)

IBM may not make the news much nowadays with big consumer product announcements, but that hasn't stopped the long-time computer giant from growing. In fact, IBM's market value has now officially passed that of Microsoft, making it the second-most valuable technology company in the world, after Apple, and the fourth most-valuable company in the world, overall.

The value of IBM jumped to $214 billion on Thursday, while Microsoft's market value dropped to $213.4 billion, reports Bloomberg. This marks the first time since 1996 that the two companies have been this close in price.

IBM's rise is the product of CEO Sam Palmisano's strategy to focus on software and consulting businesses, rather than PC manufacturing. In 2005, Palmisano sold IBM's PC business to Lenovo. Since then, the company has spent a reported $25 billion investing in its software and other business ventures. The move has led to an increase in per-share profit for more than 30 straight quarters. And sales have risen 20 percent from 2001 through 2010.

Microsoft, on the other hand, has gone in the opposite direction. In 2000, Microsoft̢۪s worth was more than $430 billion. The market downfall in 2008 forced its value down to $135 billion as of 2009. And it has since increased in value as the markets grew stronger.

Revenue from its Windows and Office software businesses account for approximately 60 percent of its total, or about $69.9 billion as of its previous fiscal year, which ended in June. Success in with these products, as well as Xbox, helped boost Microsoft's sales last quarter, but the company continues to loose money on its online services ventures, which includes the Bing search engine. That segment brought in increased revenue in the last quarter, about $662 million, but its operating losses grew to $728 million.
